Catalyst Calendar

Nextpower Inc. [NXT] — Catalyst Calendar

formerly Nextracker Inc.

Catalyst Criteria: MEASURED. Dated events that would confirm or refute the Valuation Criteria implied path. Time works for a long, so a dated event is not required to own a compounder.

As of 2026-07-29. No date below is invented. Every entry is either (a) filed with the SEC, (b) a statutory or regulatory deadline printed in the FY2026 10-K, or (c) explicitly labelled as an estimate derived from the company's own historical filing cadence, with prior-year actuals shown.

1. Statutory and regulatory — the dates that determine this business

These are printed in the FY2026 10-K. They are the thesis.

Date Event Source Status
2025-07-04 OBBBA enacted. Compresses Sections 48E/45Y from availability through 2032 to a begin-construction safe harbour; materially reduces future 45X availability FY2026 10-K Past
2025-09-02 The 5% cost safe harbour is eliminated (IRS Notice 2025-42, issued 2025-08-22 under the 2025-07-07 Executive Order). Physical-construction and continuous-construction tests imposed FY2026 10-K Past
2026-02-12 FEOC interim guidance issued (IRS Notice 2026-15) on material-assistance tests for prohibited foreign entities; public comment requested; further guidance outstanding FY2026 10-K Past — but the rule is unfinished
2026-07-04 BEGIN-CONSTRUCTION DEADLINE. Projects starting construction by this date get a four-year continuity safe harbour for 48E/45Y FY2026 10-K PASSED — 25 days before this memo
2027-12-31 Placed-in-service deadline for any solar project that began construction after 2026-07-04, to qualify for 48E/45Y at all FY2026 10-K Live
CY2030 Section 45X credit reduced to 75% FY2026 10-K Scheduled
CY2031 Section 45X credit reduced to 50% FY2026 10-K Scheduled
CY2032 Section 45X credit reduced to 25% FY2026 10-K Scheduled
2032-12-31 No Section 45X credits for components sold after this date FY2026 10-K Scheduled
through CY2029 45X at full rate: torque tubes $0.87/kg, structural fasteners $2.28/kg FY2026 10-K Live

Why 2026-07-04 dominates everything else. Nextpower's fiscal 2026 (Apr 2025 – Mar 2026) and fiscal 2027 Q1 (Apr – Jun 2026) sit entirely inside the window in which every US developer had an incentive to start construction — and therefore to order, deposit on and schedule trackers — before the deadline. The demonstrated 23.2% CAGR and the record >$5.25bn backlog were both accumulated inside that window. The 10-K states the consequence in the company's own words: the acceleration "will reduce the number of projects in future years that would have otherwise qualified for such credits, likely reducing the overall project volume over time."

2. Corporate — filed, awaiting closing

Date announced Event Consideration Status
2026-05-28 Acquisition of Prevalon Energy LLC (battery energy storage) up to $365m: ~$150m cash at closing, $50m in Class A stock issued one year after closing (priced on the 60-day VWAP to 2026-05-27), up to $165m contingent cash 8-K Item 3.02 filed 2026-05-28. No closing date disclosed. No target financials disclosed.
2026-06-21 Acquisition of Zimmermann PV-Steel Group GmbH & Co. KG (Germany) up to €330m: ~€180m cash at closing, €105m in Class A stock at closing (priced on a 30-day VWAP ending two trading days before closing), up to €45m contingent cash 8-K Item 3.02 filed 2026-06-22. No closing date disclosed. No target financials disclosed.
2026-05-12 Agreement to acquire power-conversion product lines and IP with a planned US manufacturing footprint not disclosed Subject to foreign direct investment (FDI) approval by the Spanish government. No decision date disclosed.
2026-08-18 2026 Annual Meeting of Stockholders DEF 14A filed 2026-07-07; meeting date on the cover
2025-11-12 Rebrand Nextracker → Nextpower; charter and bylaws amended; Capital Markets Day; FY27 outlook and FY30 targets ($4.8–5.6bn revenue, ~⅓ non-tracker) Complete

~$750m of announced consideration, of which roughly $175m is new Class A stock (~1.2% dilution) that is not in any share count in this memo because neither transaction has closed and the Zimmermann share number is VWAP-determined at closing.

3. Estimated from the company's own filing cadence — labelled, with the evidence

Nextpower does not pre-announce earnings dates in its filings. The dates below are estimates, with the prior-year actuals shown so the estimate is falsifiable.

Estimated date Event Prior-year actuals What it tests
~2026-07-29 to 2026-08-05 Q1 FY2027 results (8-K Item 2.02 + 10-Q) Q1 FY26: 8-K 2025-07-29, 10-Q 2025-08-01. Q1 FY25: 8-K 2024-08-01, 10-Q 2024-08-06 The most important event in this calendar. The first reported quarter containing order intake straddling the 2026-07-04 deadline. Tests: (i) backlog direction from >$5.25bn; (ii) bookings and book-to-bill; (iii) whether the FY2027 $3.8–4.1bn guide holds; (iv) the 45X credit run-rate and the 45X receivable balance; (v) any first commentary on post-deadline demand
~2026-10-22 to 2026-10-30 Q2 FY2027 results Q2 FY26: 8-K 2025-10-23. Q2 FY25: 8-K 2024-10-30 First full quarter entirely after the deadline
~2027-01-27 to 2027-02-03 Q3 FY2027 results Q3 FY26: 8-K 2026-01-27. Q3 FY25: 8-K 2025-01-28 Half-year view of post-deadline order intake; FY2028 framing
~2027-05-11 to 2027-05-20 Q4 / FY2027 results and 10-K FY26: 8-K 2026-05-12, 10-K 2026-05-19. FY25: 8-K 2025-05-14, 10-K 2025-05-22 FY2028 guidance — the first full-year guide set entirely in the post-deadline regime; annual backlog; annual 45X quantum

4. Undated but material — watch list, no invented dates

Item Why it matters Why it has no date
Final Treasury FEOC guidance FEOC restrictions apply to Sections 45X, 48E and 45Y "in somewhat different ways", and to manufacturers of 45X-eligible components — i.e. to Nextpower's own supply chain, not only to its customers. The 10-K says further guidance is expected. Treasury has issued only interim guidance (Notice 2026-15, 2026-02-12) and requested comment. No statutory deadline for the final rule.
Prevalon and Zimmermann closings ~$750m of consideration; the entire non-tracker pivot runs through them Neither 8-K discloses a closing date; Zimmermann's share count is VWAP-determined at closing
Spanish FDI approval for the power-conversion asset acquisition Gates the PCS product line, which the company says ships first in 2026 Regulatory review; no published decision date
Tariff rates Tariffs went $19.7m → $130.4m (3.7% of revenue) and the 10-K says they were "not fully included in pricing" Trade policy; not scheduled
First shipments of power conversion systems Announced 2025-11-12 as "expected in 2026" "2026" is the only granularity the company has published. No month, no quarter. Nothing is invented here.

5. What this calendar means for the Valuation Criteria

The implied-path test requires 10.8%/yr revenue growth for five years at a statute-derived 16.25% terminal margin (NXT_Valuation.md §1). Against the company's own FY2027 guide of +11.0% and its FY30 target of +9.9%/yr, the price is asking for approximately what management has publicly promised, with no cushion. The calendar therefore matters more than it usually would.

Leg of the thesis Confirmed by Refuted by First observable
Post-deadline demand Backlog above ~$5.5bn and book-to-bill >1.2x Any sequential backlog decline; bookings commentary softening Q1 FY2027, days away
The pivot (non-tracker 12% → ⅓ by FY30) Non-tracker above 15% of revenue; Prevalon and Zimmermann closing on terms Deals repriced, delayed or abandoned Q1 FY2027 mix commentary; closing 8-Ks
45X durability Credit run-rate holding near $380m/yr; receivable converting to cash Receivable building faster than collections; CFO/NI staying below 1.0x Q1 FY2027 balance sheet
Margin (19.6%, ex-45X 8.9%) Gross margin stabilising above 32%; tariffs recovered in price Further compression from 32.6% Q1 FY2027
The policy end-state Final FEOC guidance that does not touch Nextpower's supply chain Adverse final FEOC rules on 45X manufacturers No date — this is the largest undated risk

The concentration of information in one imminent report is the finding. Q1 FY2027 is the first filed observation of what US utility-scale solar demand looks like on the far side of 4 July 2026, and every number in this memo's forward view is provisional until it lands.
